Terms and Conditions

Effective Date: 1st May, 2025

These Terms and Conditions (“Terms”) govern the provision of consulting services by Glenquarry Grove Pty Ltd ABN 36 099 734 013 trading as Crystalliq Pathways (“Crystalliq Pathways”, “we”, “our”, or “us”) to the client (“Client”, “you”, or “your”). By engaging our services, you agree to be bound by these Terms.

1. Services

Crystalliq Pathways provides consulting and other services to businesses of a general nature.  The scope of services will be detailed in a written proposal or engagement agreement accepted by both parties.

2. Client Responsibilities

You agree to:

  • Provide complete, accurate, and timely information required for the delivery of services.

  • Cooperate with our team and respond to reasonable requests in a timely manner.

  • Make decisions and approvals as reasonably required for the services to proceed efficiently.

3. Fees and Payment

  • Fees will be outlined in a proposal or service agreement and may be fixed, milestone-based, or time-based.

  • Invoices are payable within 7 days unless otherwise agreed in writing.

  • Late payments may attract interest at 1.5% per month or the maximum rate allowed by law.

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the engagement and to use such information solely for the purpose of providing or receiving the services.

5. Intellectual Property

All materials, tools, frameworks, or reports developed by Crystalliq Pathways remain our intellectual property unless otherwise agreed in writing. You are granted a non-exclusive license to use deliverables for internal business purposes.

6. Warranties

Crystalliq Pathways warrants that it will provide services with due care, skill, and professionalism in accordance with generally accepted industry practices.
However, we do not warrant or guarantee:

  • That any business outcome (e.g. sale, investment, valuation) will be achieved.

  • That the advice or recommendations will result in commercial success.

7. Disclaimer – No Legal or Financial Advice

Any information, recommendations, or insights provided by Crystalliq Pathways are for general business and strategic guidance only and do not constitute legal, accounting, taxation, or financial advice.

You acknowledge and agree that:

  • Crystalliq Pathways is not a law firm, accounting firm, or financial advisory service;

  • Our consultants do not hold qualifications to provide legal, accounting, or financial advice;

  • You must obtain independent professional advice from a qualified advisor before acting on any information or recommendations provided by Crystalliq Pathways.

We accept no responsibility or liability for any loss or damage arising from decisions made by you based on our services without obtaining such independent advice.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Crystalliq Pathways is not liable for any indirect, consequential, incidental, or special damages including but not limited to loss of profits, revenue, or business opportunity.

  • Our total liability for any claim arising from or related to our services is limited to the amount paid by you for the services in the three (3) months preceding the claim.

9. Termination

Either party may terminate the engagement:

  • With 30 days’ written notice, or

  • Immediately if there is a material breach of these Terms.

If the contract is terminated for any reason other than a material breach of these terms by Crystalliq Pathways, upon termination, you agree to pay for:

a)      In the case of an ongoing contract, the value of any fees (including any expenses incurred) specified in the contract or engagement letter up to and including the termination date.

b)      In the case of a fixed contract or engagement, the remaining balance of the contract or engagement fee plus any incurred expenses.

If the contract is terminated for a material breach of these Terms by Crystalliq Pathways, upon termination you agree to pay for all services rendered up to the date of termination.

10. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of that state.

11. Amendments

Crystalliq Pathways reserves the right to amend these Terms from time to time. Any changes will be posted on our website or provided in writing. Continued use of our services constitutes acceptance of the revised Terms.

12. Entire Agreement

These Terms, together with any proposal or service agreement, constitute the entire agreement between the parties and supersede all prior discussions or representations.
